Agreement

These Terms are a binding agreement between you and Fern Ventures LLC (“Baddie AI,” “we,” “us,” or “our”). By accessing, browsing, or using Baddie AI — Miami Spice Edition, you agree to these Terms and acknowledge the Privacy Policy. Immediately beside the search composer, we state that submitting a search constitutes agreement to these Terms and acknowledgment of the Privacy Policy. Selecting the send action, pressing Enter to search, starting voice dictation, or enabling location after that notice records your agreement. If you do not agree, do not use those features or submit information.

You must be at least 13 to use the service. If you are under 18, a parent or legal guardian must review and agree to these Terms for you. If you use the service for an organization, you represent that you are authorized to bind it.

What the service does

Baddie AI helps users search a collected snapshot of official Miami Spice restaurant information. It is an informational guide, not a restaurant, reservation agent, delivery service, payment provider, dietitian, or concierge with authority to bind a restaurant. We may change, suspend, or discontinue any part of the service at any time.

AI and restaurant information

AI responses can misunderstand a request or present incomplete information. Menus, prices, participating days, ingredients, images, reservation links, and availability can change after our source snapshot. Restaurants and booking providers control their live offerings. You are responsible for confirming all material details directly with the restaurant, including allergies, dietary restrictions, accessibility, price, dates, and reservations, before relying on them.

Local date, time, and optional device location help rank records whose official Miami Spice meal and participating day match the request. They do not establish live opening hours, travel time, table inventory, or reservation availability.

Acceptable use

You may use the service only for lawful, personal, noncommercial purposes. You may not interfere with the service; evade rate limits or geographic restrictions; scrape, crawl, copy, or bulk extract the service or its data except as permitted by law; probe for vulnerabilities; upload malicious code; impersonate another person; use automated systems to burden the service; or use the service to violate another person’s rights. We may block, suspend, or terminate access reasonably believed to violate these Terms or threaten the service.

Accounts and My Spice

An account is not required for public browsing or AI search. If you create one, you are responsible for its security and activity. My Spice is provided for personal organization. You may delete your account and associated Baddie AI account data in Settings, subject to limited retention described in the Privacy Policy.

Ownership and limited license

Baddie AI’s software, design, branding, and original content are owned by Fern Ventures LLC or its licensors and are protected by law. Restaurant names, images, menus, and third-party marks remain the property of their respective owners. We grant you a limited, revocable, nonexclusive, nontransferable license to use the service as these Terms permit. No other rights are granted.

Third-party services

The service links to restaurants, reservation providers, maps, and other third parties. We do not control or endorse their services, terms, privacy practices, availability, or transactions. Your use of a third-party service is between you and that provider.

Disclaimer of warranties

To the maximum extent permitted by law, the service is provided “as is” and “as available.” Fern Ventures LLC disclaims all express and implied warranties, including merchantability, fitness for a particular purpose, title, noninfringement, accuracy, availability, and that the service will be uninterrupted, secure, or error-free. Some jurisdictions do not allow certain disclaimers, so portions of this section may not apply to you.

Limitation of liability

To the maximum extent permitted by law, Fern Ventures LLC and its owners, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, lost data, or losses arising from a restaurant, reservation, AI response, third-party service, or your inability to use the service. Our aggregate liability arising from the service will not exceed the greater of $100 or the amount you paid us to use the service during the six months before the event giving rise to the claim. This limitation does not exclude liability that cannot lawfully be limited.

Indemnity

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Fern Ventures LLC and its owners, employees, contractors, and affiliates from third-party claims, damages, and reasonable costs arising from your unlawful misuse of the service, your content, or your material breach of these Terms. This section does not require indemnification for our own unlawful conduct.

Governing law and disputes

Florida law governs these Terms without regard to conflict-of-law rules. Any dispute not resolved informally will be brought exclusively in the state courts located in Miami-Dade County, Florida, or the federal court with jurisdiction there, and each party consents to personal jurisdiction and venue in those courts. Before filing, each party agrees to give the other written notice describing the dispute and 30 days to attempt an informal resolution. Nothing here prevents either party from seeking urgent injunctive relief.

Changes and general terms

We may update these Terms prospectively by posting a new effective date. If a material change requires renewed agreement, we will ask you to agree again before using affected features. If any provision is unenforceable, the remaining provisions remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization or transfer of the service. These Terms and the Privacy Policy are the complete agreement about the service.
